Job Purpose

An established New York law firm with an internationally recognized Banking & Finance practice is seeking an Associate to join their team.

You'll work on sophisticated domestic and international lending transactions while developing the commercial perspective that underpins banking practices. Rather than focusing on a single lending product, you'll work across multiple financing structures, industries, and credit situations.

What You'll Do

  • Advise lenders and borrowers on a broad range of financing transactions
  • Structure, negotiate, document, and close syndicated and bilateral credit facilities
  • Draft and negotiate credit agreements, reimbursement agreements, security agreements, intercreditor agreements, participation agreements, receivables purchase agreements, and related ancillary documents
  • Analyze issues arising under the UCC, including Articles 5, 8, 9, and 12
  • Analyze matters involving the Bankruptcy Code
  • Support secured and unsecured lending transactions from structuring through closing
  • Work on letter of credit transactions, receivables financings, asset-based lending facilities, construction financings, real estate lending matters, and workout-related situations
  • Coordinate transactions across lenders, borrowers, and counsel to drive efficient execution

What You'll Need

  • JD from an accredited law school
  • Admission to the New York Bar
  • 3-6 years of Banking & Finance experience
  • Strong lending experience, preferably representing lenders

Experience spans syndicated lending, bilateral facilities, letters of credit, receivables financings, asset-based lending, real estate and construction financings, and workout-related matters.
